Terms of Service

These Terms of Service ("Terms") govern your use of the rsQd platform and mobile application (the "Service") operated by RobAiotics Corp. ("rsQd", "we", "us", "our"), a Delaware corporation, and its licensed subsidiaries: Purple Techniques Ltd (CR# 7054976373, Riyadh, Saudi Arabia) and PURQLEX İÇ VE DIŞ TİCARET LİMİTED ŞİRKETİ (Şişli/İstanbul, Turkey). By accessing or using the Service, you agree to be bound by these Terms.

1. Nature of the Service

rsQd is an intermediary marketplace platform that connects customers who need roadside assistance services (towing, battery jump-starts, tyre changes, fuel delivery, lockout service) with independent, verified service providers. rsQd is not a service provider. rsQd does not employ drivers or own tow trucks. The contractual relationship for the underlying service is between the customer and the provider.

2. Eligibility

• You must be at least 18 years of age.
• You must provide accurate, current, and complete registration information.
• You must not have been previously suspended or removed from the Service.
• If registering as a provider, you must hold all required licences, permits, and insurance valid in your jurisdiction.

3. User Accounts

You are responsible for maintaining the confidentiality of your account credentials. You must notify us immediately at rsqd@robaiotics.com of any unauthorised use of your account. We are not liable for loss arising from unauthorised access where you failed to notify us promptly.

4. Service Requests and Acceptance

• Customers submit a service request specifying location, vehicle, and service type.
• rsQd's system routes the request to available, nearby verified providers.
• A binding transaction arises when a provider accepts the job and the customer confirms.
• Accepted offers are price-locked; providers may not change the agreed fee after acceptance.

5. Pricing, Fees, and Payments

• Providers set their own rates. All applicable fees are displayed before confirmation.
• rsQd charges a platform commission on each completed transaction (rate displayed at booking).
• Payments are processed by Stripe, Inc. You agree to Stripe's Terms of Service.
• Refunds are subject to the Cancellation Policy below.

6. Cancellation Policy

• Before provider dispatched: Free cancellation.
• After provider dispatched but before arrival: A cancellation fee may apply.
• After service commenced: Full service fee applies; disputes handled through in-app support.

7. Provider Obligations

Providers must: (a) hold all required licences and insurance; (b) maintain vehicles in roadworthy condition; (c) comply with applicable traffic and safety laws; (d) treat customers respectfully; (e) update availability status accurately; (f) not solicit off-platform payments.

8. Customer Obligations

Customers must: (a) provide accurate location and vehicle information; (b) pay agreed fees promptly; (c) treat providers respectfully; (d) not misuse the platform for fraudulent requests.

9. Prohibited Conduct

Users must not: submit false or fraudulent requests; impersonate any person; violate the Acceptable Use Policy (/acceptable-use); interfere with the platform's technical operation; circumvent security measures; use the Service for commercial resale without authorisation.

10. Intellectual Property

All content, marks, and technology on the Service are owned by or licensed to RobAiotics Corp. You receive a limited, non-exclusive, non-transferable licence to use the Service for its intended purpose. You may not reproduce, modify, or create derivative works.

11. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND. RSQD DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT PROVIDERS WILL MEET YOUR SPECIFIC REQUIREMENTS.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, RSQD'S AGGREGATE LIABILITY FOR ANY CLAIM ARISING FROM USE OF THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) USD 100 OR (B) THE TOTAL FEES YOU PAID TO RSQD IN THE 3 MONTHS PRECEDING THE CLAIM. RSQD IS NOT LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.

13. Indemnification

You agree to indemnify and hold harmless RobAiotics Corp., Purple Techniques Ltd, PURQLEX, and their officers, directors, and employees from any claim arising out of your use of the Service, your violation of these Terms, or your infringement of any third-party right.

14. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict-of-law principles, except where mandatory local law applies. Disputes shall be resolved by binding arbitration under the AAA Commercial Arbitration Rules (for US users), or by the competent courts in your jurisdiction as required by local law. See jurisdiction-specific appendices below.

15. Termination

We may suspend or terminate your account at any time for violation of these Terms. You may close your account at any time via Profile → Delete Account in the app. Termination does not affect obligations arising from completed transactions.

16. Changes to Terms

We may update these Terms. Material changes will be notified via the app or email at least 14 days before taking effect. Continued use after the effective date constitutes acceptance.
